Pixelartice Art License Agreement

Effective Date: June 18, 2023

This Art License Agreement (the “Agreement”) is entered into between Pixelartive (the “Licensor”) and the user (“Licensee”) accessing and using the artwork available on Pixelartive (the “Website”).

1. Grant of License

1.1 License: The Licensor grants the Licensee a non-exclusive, non-transferable, worldwide license to use the artwork purchased from the Website in accordance with the terms and conditions of this Agreement.

1.2 Permitted Use: The Licensee may use the artwork solely for personal, non-commercial purposes. The Licensee may print, display, and reproduce the artwork for personal use, including framing, gifting, and decorating personal spaces.

1.3 Prohibited Use: The Licensee is expressly prohibited from using the artwork for any commercial purposes, including but not limited to selling, reselling, licensing, or distributing the artwork. The Licensee may not modify, alter, or create derivative works of the artwork without the prior written consent of the Licensor.

2. Ownership and Copyright

2.1 Ownership: The Licensor retains all rights, title, and interest in and to the artwork, including any copyrights and intellectual property rights therein. This Agreement does not transfer ownership of the artwork to the Licensee.

2.2 Copyright Notice: The Licensee agrees to maintain and display any copyright notice or other proprietary rights notice provided by the Licensor with the artwork.

3. Restrictions

3.1 No Redistribution: The Licensee may not distribute, share, or sublicense the artwork to any third party.

3.2 No Unauthorized Use: The Licensee may not use the artwork in any way that is not expressly permitted by this Agreement or violates any applicable laws or regulations.

4. Disclaimer of Warranty

The artwork is provided “as is” without any warranty, express or implied. The Licensor does not guarantee the accuracy, completeness, or usefulness of the artwork. The Licensee uses the artwork at their own risk.

5. Limitation of Liability

The Licensor shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use of the artwork, even if advised of the possibility of such damages.

6. Termination

6.1 Termination for Breach: The Licensor may terminate this Agreement and the Licensee’s access to the artwork if the Licensee breaches any terms of this Agreement.

6.2 Effect of Termination: Upon termination, the Licensee must immediately cease using the artwork and destroy any copies or reproductions of the artwork in their possession.

7. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and representations, whether written or oral.
